Transactional Attorney

Responsibilities

• Perform simulated contract negotiations and redlining exercises.
• Review and assess AI responses to contract scenarios, providing expert feedback to improve model performance and output precision.
• Create objective evaluation frameworks and grading criteria to assess AI performance on contract tasks with rigor and consistency.
• Apply transactional legal expertise to evaluate contractual language, risks, and negotiation positions.
• Provide detailed and actionable legal feedback to improve AI-driven contract review capabilities.
• Collaborate with product and research teams to refine data, guidelines, and best practices for AI-driven contract review solutions.

Skills

Requirements

• Minimum 3 years of in-house legal experience focused on technology transactions.
• Strong experience negotiating technology agreements, particularly MSAs, NDAs, and DPAs.
• Demonstrated expertise in contract drafting, review, negotiation, and redlining.
• Exceptional written and verbal communication skills with meticulous attention to detail.
• Strong analytical capabilities and ability to translate legal expertise into actionable feedback for AI systems.
• Ability to collaborate effectively with cross-disciplinary teams in fast-paced environments.
• Prior exposure to AI, legal technology, or AI training initiatives is preferred but not required.
• Experience at a corporate law firm in M&A or fund formation for private equity firms is preferred.
