micro1 is seeking a corporate legal professional to support venture financings, corporate governance, equity administration, transaction execution, and legal operations while helping build AI-enabled workflows and automation. This role is suited to an experienced corporate paralegal or junior corporate attorney who can independently manage transactional details, maintain corporate records, administer equity matters, and develop scalable systems that make legal operations faster and more efficient.

Responsibilities

  • Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters.
  • Draft corporate documents and coordinate transactional matters with outside counsel.
  • Own transaction execution from signatures, checklists, and document circulation through closing and post-closing activities.
  • Maintain the company's master data room and ensure corporate records remain accurate and current.
  • Manage corporate governance and entity administration, including state filings and annual reports.
  • Maintain minute books, organizational documents, and subsidiary records.
  • Administer cap tables, equity plans, and equity grants.
  • Manage equity grants, exercises, transfers, cancellations, and reconciliation of equity records.
  • Independently draft and manage routine corporate and legal documents.
  • Exercise sound judgment when determining whether matters require escalation or outside counsel.
  • Design AI-enabled legal intake and triage workflows for an asynchronous working environment.
  • Build self-service tools, templates, playbooks, and automations for recurring legal processes.
  • Automate workflows involving NDAs, approvals, signature requests, and other routine legal matters.
  • Identify repetitive legal work and develop scalable systems to improve speed and accuracy.

Requirements

  • Significant experience supporting venture capital financings, M&A, or comparable corporate transactions.
  • Strong knowledge of transaction documents, corporate approvals, and closing processes.
  • Experience with corporate governance, entity management, and state filings.
  • Hands-on experience managing cap tables and equity administration.
  • Exceptional organizational skills and attention to detail.
  • Ability to independently drive legal and corporate matters from start to finish.
  • Strong legal drafting and proofreading capabilities.
  • Strong project management and communication skills.
  • Genuine interest in AI, legal technology, workflow design, and automation.
  • Sound judgment and ability to recognize matters requiring escalation or outside counsel.
  • Ability to work autonomously in a fast-paced, highly asynchronous environment.
  • JD with active U.S. bar membership and 3+ years of corporate experience at a leading U.S. law firm is preferred for attorney candidates.
  • Alternatively, 8+ years of corporate paralegal experience supporting venture transactions across law firm and in-house environments is preferred.
  • Experience supporting venture-backed or high-growth technology companies is a plus.
  • Experience with AI tools, automation platforms, Slack integrations, or contract management systems is a plus.
