Member of Legal Staff, Commercial Counsel
micro1 is seeking a high-potential Commercial Counsel to join its legal team and support sophisticated commercial and technology transactions. The role focuses on data licensing, inbound technology agreements, marketing and procurement contracts, vendor and partnership agreements, and other commercial matters. The attorney will also help build scalable legal processes, contract playbooks, self-service resources, and AI-enabled legal workflows as the company grows.

Responsibilities
- Draft, review, and negotiate sophisticated commercial agreements.
- Lead legal work involving data licensing, marketing agreements, and inbound technology transactions.
- Support vendor agreements, partnership agreements, statements of work, NDAs, and other commercial matters.
- Translate contractual and legal risks into clear, business-oriented recommendations for internal stakeholders.

- Exercise sound judgment when determining whether to resolve matters independently or escalate them.
- Build and improve commercial contract templates and standardized legal documentation.
- Develop negotiation playbooks, fallback positions, and self-service legal resources.
- Identify opportunities to streamline contract review and legal intake processes.
- Implement AI-enabled approaches to contract review, automation, and legal knowledge management.

Requirements
- Juris Doctor (JD) degree.
- Active membership in at least one U.S. state bar.
- Strong academic credentials and foundational legal training.
- Significant experience drafting and negotiating sophisticated commercial agreements.
- Strong experience with technology-related transactions involving data, software, technology, or intellectual property.
- Excellent commercial-contracting fundamentals.
- Strong legal judgment with the ability to distinguish theoretical risks from material business risks.
- Ability to quickly understand technical products, business models, data flows, and unfamiliar legal areas.
- Exceptional written and verbal communication skills.
- Strong intellectual curiosity and adaptability in emerging areas of law and technology.
- Ability to operate independently with a high degree of ownership in a fast-moving environment.
- Top-tier law firm experience involving technology transactions, commercial agreements, or intellectual property is preferred.
- Experience with data licensing, AI, privacy, or data protection is preferred.
- Understanding of legal issues involving AI systems, data rights, permitted data use, and emerging technologies is a plus.
- Experience with venture-backed technology or AI companies is preferred.
- Hands-on experience using AI or automation to improve legal workflows is a plus.
