M&A Attorney

Responsibilities

• Perform simulated contract negotiations and redlining exercises.
• Review and assess AI responses to contract scenarios and provide expert feedback to improve model performance and output precision.
• Create objective evaluation frameworks and grading criteria to assess AI performance on contract-related tasks.
• Apply mergers and acquisitions expertise to evaluate transactional agreements, contractual risks, and legal language.
• Provide detailed legal reasoning and actionable feedback on AI-generated legal outputs.
• Collaborate with product and research teams to refine data, guidelines, and best practices for AI-driven contract review solutions.

Skills

Requirements

• J.D. from an ABA-accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• Minimum 2 years of experience in the M&A department of a corporate law firm.
• Familiarity with standard M&A agreements, including Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs).
• Strong experience with contract negotiation, drafting, review, and redlining.
• Exceptional written and verbal communication skills with meticulous attention to detail.
• Strong analytical capabilities and ability to translate legal expertise into actionable feedback for AI systems.
• Experience working with cross-disciplinary teams in fast-paced environments.
• Prior exposure to AI, legal technology, or AI training initiatives is preferred but not required.
• Experience working with private equity firms is preferred.
