Responsibilities
- Review and annotate corporate legal documents including merger agreements, stock purchase agreements, operating agreements, bylaws, and financing documents
- Draft realistic corporate scenarios, deal hypotheticals, and research memos covering M&A, governance, securities, and entity structuring
- Evaluate AI-generated corporate legal content for accuracy, clarity, and consistency with US corporate law
- Provide specific corrections and clear legal reasoning

- Flag ambiguity, risk, and drafting issues with clear rationale
- Translate complex corporate legal principles into structured formats suitable for model training

Requirements
- JD from an accredited US law school
- Active license to practice law in at least one US jurisdiction and in good standing

- Hands-on experience drafting and negotiating core transactional documents
- US-based practitioner with demonstrated corporate transactional expertise
- Experience across both buy-side and sell-side M&A
