The work focuses on commercial contracting practice, including reviewing agreements, redlining drafts, analyzing legal issues, applying company policy positions, and explaining proposed revisions as in-house counsel would. Contributors will use their expertise in contract drafting, negotiation, technology transactions, legal writing, and contract interpretation to provide high-quality input for training next-generation AI systems. No prior AI experience is required.

Responsibilities

  • Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar documents, in accordance with established playbooks and policies.
  • Analyze contract drafts to identify key legal issues and determine applicable company positions and acceptable fallback outcomes.
  • Draft clear, reasoned written explanations detailing the rationale behind each redline or revision.
  • Apply advanced contract drafting, negotiation, and technology transactions knowledge to real-world legal documents.
  • Review commonly negotiated commercial provisions, including limitation of liability, indemnification, confidentiality, and data protection.
  • Collaborate with the project team to ensure consistency of standards and interpretations throughout the engagement.
  • Maintain meticulous attention to detail and high standards of legal writing and contract-review quality.
  • Synthesize complex legal concepts into clear and actionable written analyses.
  • Work independently within a confidential, remote, and deadline-driven project environment.
  • Contribute legal expertise and high-quality contract-review input to the training of next-generation AI systems.

Requirements

  • Juris Doctor (JD) from an accredited law school is preferred.
  • Active bar admission in a U.S. jurisdiction is preferred.
  • Minimum of 4 years of transactional practice experience at a law firm or as an in-house attorney.
  • Experience focused on contract drafting, review, and negotiation.
  • Deep familiarity with commonly negotiated commercial provisions, including limitation of liability, indemnification, confidentiality, and data protection.
  • Strong contract drafting, redlining, negotiation, and legal analysis skills.
  • Proven ability to synthesize complex legal concepts and deliver clear, actionable written analyses.
  • Demonstrated sound judgment and a high level of accuracy in contract review and interpretation.
  • Expertise in technology transactions is considered a strong plus.
  • Strong legal writing and attention-to-detail skills.
  • Ability to apply company playbooks, policies, and fallback positions consistently.
  • Ability to work independently in a remote, deadline-driven environment.
  • Ability to maintain confidentiality throughout the engagement.
  • No prior AI experience is required.
  • Ability to work remotely from the United States.
