Commercial Attorney
micro1 is engaging Commercial Attorneys to contribute to a confidential project at the intersection of law and AI. Contributors will apply their commercial contracting expertise to help train next-generation AI systems through high-quality, real-world legal input. The work draws on day-to-day commercial contracting practice, including reviewing agreements, redlining drafts, analyzing legal and business risks, and applying company policy positions in the manner of in-house counsel. No prior AI experience is required.

Responsibilities
- Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar documents, in accordance with established playbooks and policies.
- Analyze contract drafts to identify key legal and commercial issues.
- Determine applicable company positions and acceptable fallback outcomes.
- Draft clear and reasoned written explanations detailing the rationale behind redlines and revisions.
- Apply advanced contract drafting, negotiation, and technology transactions knowledge to real-world legal documents.
- Review commonly negotiated commercial provisions, including limitation of liability, indemnification, confidentiality, and data protection.
- Collaborate with the project team to maintain consistency of standards and interpretations throughout the engagement.

Requirements
- Juris Doctor (JD) from an accredited law school is preferred.
- Active bar admission in a U.S. jurisdiction is preferred.
- Minimum of 4 years of transactional practice experience at a law firm or as an in-house attorney.
- Focus on contract drafting, contract review, and contract negotiation.
- Deep familiarity with commonly negotiated commercial provisions.
- Knowledge of limitation of liability, indemnification, confidentiality, and data protection provisions.
- Proven ability to synthesize complex legal concepts into clear, actionable written analyses.
- Demonstrated sound judgment and high accuracy in contract review and interpretation.
- Strong commercial contracting and legal writing skills.
- Expertise in technology transactions is a strong plus.
- Ability to work independently in a confidential, remote, deadline-driven environment.
- Adaptability and willingness to contribute to an innovative legal and AI project.
