Responsibilities

• Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar documents, in accordance with established playbooks and policies.
• Analyze contract drafts to identify key issues and determine applicable company positions and acceptable fallback outcomes.
• Draft clear, reasoned written explanations detailing the rationale behind each redline or revision.
• Apply advanced contract drafting, negotiation, and technology transactions knowledge to real-world legal documents.
• Collaborate with the project team to maintain consistency in standards and interpretations throughout the engagement.
• Maintain meticulous attention to detail and high standards of legal writing and contract review quality.
• Work independently within a remote, deadline-driven project environment.

Skills

Requirements

• Juris Doctor (JD) from an accredited law school and active bar admission in a U.S. jurisdiction.
• Minimum 4 years of transactional practice at a law firm or as an in-house attorney, focused on contract drafting, review, and negotiation.
• Deep familiarity with commonly negotiated commercial provisions, including limitation of liability, indemnification, confidentiality, and data protection.
• Ability to synthesize complex legal concepts and provide clear, actionable written analysis.
• Sound legal judgment and a high level of accuracy in contract review and interpretation.
• Expertise in technology transactions is a strong plus.
• Ability to adapt and contribute effectively to a confidential, innovative legal project.
• No prior experience in AI is required.
